TERMS OF SERVICE -CLOSED USER GROUP TESTING

This Terms of Service Agreement (“Agreement”) is a binding agreement between Beep, Inc. (“Beep”) and you (the “User”) and govern the use by User of the Beep mobile application (the “Application”) and the transportation and mobility service on the autonomous vehicle during the Closed User Group Testing (the “Mobility Services”), as identified herein. By using the Application and Mobility Services (collectively, the “Beep Services”), User agrees to the terms of this Agreement. If User does not agree to the terms of this Agreement, User must not use the Beep Services. The terms of this Agreement may be updated from time to time by Beep.

1. OVERVIEW

User may request and book the Mobility Services for transportation in a designated service area and during the applicable service hours for the autonomous vehicle through the Application by downloading the Application on User’s mobile device and entering User’s starting point and destination. Each User shall be provided with an estimated pick-up time and arrival time at the destination. A User can include additional passengers (“Additional Passengers”) when booking the Mobility Services; provided, each additional passenger has separately registered for use of the Mobility Services in accordance with Section 4, below.

2. PRIVACY POLICY

The Beep privacy policy set forth https://ridebeep.com/privacy-policy is incorporated herein and shall govern any personal information submitted to the Beep Services by User. The Privacy Policy explains how Beep may collect, use and share personal data. By using the Mobility Services, User is authorizing Beep to record audio and video of User and consenting to the use by Beep of the recording and audio of User as permitted by applicable law.

3. GRANT OF LICENSE

Beep hereby grants User a non-exclusive, non-transferable, revocable license to download, install, access and use the Application on a mobile device User owns or controls to utilize the Mobility Services. The grant of rights hereunder is not a sale of the Application and Beep and its third-party licensors reserve all rights not expressly granted by this Agreement.

4. SCOPE OF LICENSE

A. Registration

To use the Beep Services, User must be over the age of 18 years old (except for permitted minors as provided in Section 4 (C), below) register through the Application and agree to this Agreement. To register, each User shall provide an e-mail address or mobile number. User shall promptly, without delay, update any registration information if there are changes to such information.

B. Restrictions

User shall not: (i) copy, modify or create derivative works of the Application; (ii) reverse engineer, decompile, or disassemble the Application; (iii) rent, lease, sell, sublicense, assign, or distribute the Application; (iv) use the Application for unlawful purposes or in violation of applicable law, including data privacy regulations; (v) interfere with or disrupt the Application’s operation or security; (vi) use the Application for any commercial purposes other than in conjunction with the Beep Services; (vii) use the Application to store or transfer content that infringes or misappropriates any third party intellectual property right; or (viii) store or transfer malicious code.

C. Minors

During Closed User Group Testing, any individual under the age of 18 is not permitted to ride on the Mobility Services. Upon general availability of the Mobility Services, a User may book a journey for an individual under the age of 18 with the consent of a legal guardian and the User must ensure that minors are supervised while utilizing the Mobility Services. User must comply with any legal requirements to ensure that a minor, as applicable, is secured in a child seat during operation of the Mobility Services. Beep shall not be responsible for the supervision of minors.

D. Luggage

A User may bring luggage on the Mobility Services, subject space availability and to the extent that it does not impact the safety and convenience of other passengers. The decision is in the sole discretion of Beep and the safety driver or attendant on the autonomous vehicle.

5. WARRANTIES

THE BEEP SERVICES ARE PROVIDED “AS IS”. IN NO EVENT SHALL BEEP BE LIABLE FOR ANY DELAYS IN THE OPERATION OF THE BEEP SERVICES OR FAILURE OF THE BEEP SERVICES TO OPERATE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEEP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE BEEP SERVICES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON‑INFRINGEMENT.

6. INDEMNIFICATION

User shall indemnify, defend and hold Beep harmless from any and all damages, losses, costs, expenses, claims, demands and causes of action arising from or related to User’s negligence, including, without limitation, damage to the Mobility Services, including the autonomous vehicles, during User’s transportation in and use of the Mobility Services.

7. LIMITATION OF LIABILITY

A USER’S PARTICIPATION IN THE MOBILITY SERVICES IS AT USER’S OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT FOR CLAIMS ARISING FROM BEEP’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OR BODILY INJURY CAUSED BY BEEP’S NEGLIGENCE, BEEP SHALL NOT BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. TERMINATION

Beep may, in its sole discretion, suspend or terminate a User’s license to the Application and right to use the Mobility Services if a User is in breach of this Agreement, including the Code of Conduct set forth herein.

9. CODE OF CONDUCT

The following code of conduct shall apply during each User and passenger’s transportation in the autonomous vehicles and use of the Mobility Services:

  • Each User and passenger shall treat all fellow passengers with respect when using the Beep Services. This means not only being polite to the safety driver or attendant but also showing consideration and respect to other passengers and the property of others.
  • There is no place for illegal behavior in the autonomous vehicle and Mobility Services. Beep shall immediately report any violations of law to the appropriate authority.
  • Each User and passenger shall behave as an individual would expect others to behave. Each User and passenger shall be considerate and use the autonomous vehicle and Mobility Services in a way that allows all other passengers to enjoy a comfortable and pleasant journey. Each User and passenger is liable for any damage cause to the autonomous vehicle and Mobility Services.
  • Each User and passenger shall make it possible for other passengers to enjoy a pleasant experience while traveling in and utilizing the autonomous vehicle and Mobility Services and shall limit phone calls and shall not play music or videos unless connected to a headset or ear pods.
  • Each User and passenger shall follow safety driver or attendant’s instructions while utilizing the Mobility Services.
  • Each User and passenger shall fasten their seat belt as soon as they sit down in a seat. Failure to comply with the seat belt requirement may subject to a User and passengers to fines.
  • Each User and passenger who pose a risk to the safety of others due to intoxication or their behavior may not use the transport and may be asked to immediately disembark at the next stop or not board in the sole discretion of the safety driver or attendant.
  • No smoking is permitted while utilizing the autonomous vehicle and Mobility Services.
  • No food or beverages may be consumed while utilizing the autonomous vehicle and Mobility Services.
  • In consideration of people with allergies, the transport of animals is prohibited. During general availability of the Beep Services, User’s or passengers that require guide dogs for vision impairments, disability or other authorized purposes shall be provided equivalent transportation consistent with legal and regulatory requirements. More information shall be provided on Beep’s website.
  • No harassment or sexually inappropriate behavior shall be tolerated while utilizing the Mobility Services and any violation shall result in immediate and permanent exclusion from the Beep Services and shall be promptly reported to the appropriate authorities.
  • Each User and passenger are prohibited from taking pictures, videos, or sound recordings of other passengers without their prior consent.
  • No discrimination, incitement to hatred in any form, including racist, nationalist, sexist utterances, religious discrimination, ethnic discrimination or any slur or insult other segments of society while utilizing the Mobility Services shall be permitted. Any violation of the foregoing will result in immediate and permanent exclusion from the Beep Services.

10. BABY CARRIAGES; WHEEL CHARIS

A. General

During Closed User Group Testing of the Mobility Services, the transport of baby carriages and wheelchairs, including electric wheelchairs, is not permitted. During general availability of the Mobility Services, transportation of baby carriages, baby car seats and orthopedic aids shall be subject to storage availability.

B. Wheelchairs- ADA Accessibility

During general availability of the Mobility Services, information on equivalent transportation services for Users or passengers requiring accessibility accommodation will be available on the Application or Beep’s website.

11. GOVERNING LAW AND DISPUTE RESOLUTION

A. Governing Law

This Agreement shall be governed and construed in accordance with the laws of the State of Florida, excluding its choice of law rules. Subject to Section 11(B), any dispute arising under this Agreement shall be brought in a state or federal court located in Orlando, FL.

B. Arbitration

Any claim arising out of or relating to this Agreement, including the determination of whether a dispute between the parties is subject to this provision, shall be settled by binding arbitration. The arbitration shall be held in the Orlando metropolitan area before a single arbitrator in accordance with the Commercial Arbitration Rules of the American Arbitration Association then in effect. The decision of the arbitrator shall be in writing and shall set forth in detail the reasons for such decision. Judgment upon the award may be entered in any court of competent jurisdiction. The arbitrator shall not award punitive or exemplary damages or any damages in excess of the limitations set out in this Agreement. The parties shall maintain the confidential nature of the arbitration proceeding and any award, except as may be necessary to prepare for or conduct the arbitration hearing or in connection with a court application for a preliminary remedy, a judicial challenge to an award or its enforcement, or unless otherwise required by law. In the event of any action or proceeding (including arbitration) brought in connection with this Agreement, the prevailing party shall be entitled to recover its costs and reasonable attorneys' fees arising from such action or proceeding.

16. GENERAL

A. Force Majeure

Beep shall be excused from performance of the Beep Services and its obligations under this Agreement if such failure to perform results from a Force Majeure Event. A Force Majeure Event means a cause beyond the reasonable control of Beep, including, but not limited to, acts of God, acts of war or terrorism, government actions, pandemic, fire, labor difficulties, civil disturbances, transportation interruptions, interruptions of power or communications, failure of their respective contractors or other natural or supervening disasters

B. Assignment

User shall not assign its rights under this Agreement without Beep’s prior written consent. This Agreement shall be binding upon and inure to the benefit of each party and their successors and permitted assigns.

C. Waiver

Any waiver or amendment of this Agreement must be in writing and signed by authorized representatives of the parties. No waiver of or failure to act regarding any breach of this Agreement shall constitute a waiver of any prior, concurrent or subsequent breach of the same or other provisions hereof.

D. Severability

If any provision of this Agreement, or portion hereof, is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such provision shall be reduced or modified by such court of competent jurisdiction to the extent necessary to make such provision legal and enforceable. If any provision is held to be invalid, illegal or unenforceable by a court of competent jurisdiction and no provision is substituted by such court of competent jurisdiction, the provision found illegal, invalid or unenforceable shall be severed from the Agreement and the remaining provisions of the Agreement shall remain in full force and effect.

F. Entire Agreement

This Agreement sets forth the entire agreement and understanding between the parties with respect to the subject matter hereof and, except as specifically provided herein, supersedes all prior oral and written agreements, proposals, discussions and understandings between the parties with respect to the subject matter hereof, and neither party shall be bound by any conditions, inducements or representations other than as expressly provided for herein.
